1.Services & Disclaimer of Performance Guarantees
- Scope of Services: The Company provides freelance digital marketing services, AI-powered content strategy, social media management, brand identity design, and video localization/dubbing services.
- Marketing & Performance Disclaimer: While our strategies and content utilize advanced market research and artificial intelligence tools to maximize client reach and engagement, we do not guarantee specific sales, financial targets, viral reach, or continuous follower growth. Marketing metrics depend on multiple external factors beyond the Company's control, including platform algorithm changes and market fluctuations.
- Client Approval & Content Accuracy: The Client retains final responsibility for reviewing and approving all promotional materials, legal claims, and product/service descriptions before public broadcast or publication.
2.Intellectual Property & Proprietary Rights
- Client Content & Deliverables: Upon full payment of applicable monthly retainers or project fees, the Client receives a worldwide, non-exclusive license to use, reproduce, and publish all final customized graphics, scripts, and social media copy produced specifically for their brand.
- Company IP & AI Workflows: The Company retains full ownership over its underlying marketing methodologies, AI prompt frameworks, design templates, software workflows, trade secrets, and brand assets (including the Sanose Rabih logo, watermarks, and website code).
- Third-Party Assets: Any third-party stock media, fonts, or software tools used under license remain the property of their respective copyright holders.
3.Privacy Policy & Data Protection (CCPA/CPRA & CalOPPA)
In compliance with the California Consumer Privacy Act, as amended by the California Privacy Rights Act (CCPA/CPRA), and CalOPPA:
- Information Collected: We collect personal identifiers (such as name, email address, phone number, and business details) provided voluntarily via contact forms (e.g., Formspree) or audit requests. Payments are processed via PCI-DSS compliant third-party gateways (Stripe).
- No Sale or Sharing of Personal Information: We do not sell, rent, or monetize client personal data or commercial details with third parties for cross-context behavioral advertising.
- AI Model Data Exclusion: Private client business metrics, proprietary assets, and draft strategies are handled confidentially and are NEVER used to train or fine-tune public artificial intelligence models.
- Consumer Rights: Under California law, clients may request access to, correction of, or deletion of their stored personal data by emailing us at [email protected].
4.Cookies & Do-Not-Track (CalOPPA)
Our website may use essential and analytics cookies to operate the site and understand aggregate traffic. We do not use cookies to build cross-context advertising profiles. Because no uniform industry standard for "Do Not Track" (DNT) signals currently exists, our site does not presently alter its behavior in response to browser DNT signals; we will update this policy if a recognized standard is adopted. You may control or disable cookies through your browser settings.
5.Payment Terms, Retainers & Cancellation
- Monthly Retainers: Flat-rate monthly service packages — Starter ($75/mo), Growth ($150/mo), and Full Scale ($250/mo) — are billed recurringly in advance via Stripe.
- Refund Policy: All fees paid for recurring monthly retainers, social media management, strategy sessions, and custom design services are non-refundable once work has commenced or media assets have been produced for the active billing cycle.
- Cancellation: You can cancel your monthly subscription renewal at any time with zero cancellation fees. Simply click the client portal link in your Stripe email receipt, or contact us at [email protected] prior to your next billing date. Cancellation stops future recurring charges, and your service remains active until the end of your current paid billing cycle (non-refundable).
6.Automatic Renewal Terms (California ARL)
In compliance with California's Automatic Renewal Law (Cal. Bus. & Prof. Code §17600 et seq.):
- Recurring Billing Consent: By subscribing to any monthly package, you expressly authorize the Company to charge your selected payment method on a recurring monthly basis until you cancel.
- Automatic Renewal: Your subscription automatically renews at the end of each monthly billing cycle at the then-current package price, unless cancelled before the renewal date.
- How to Cancel ("Click to Cancel"): You may cancel at any time — with no penalty — through the Stripe customer portal link included in your receipt, or by emailing [email protected]. Cancellation stops future renewals; the current paid period is not refunded.
- Price Changes: We will provide clear advance notice of any change to your recurring subscription price before it takes effect.
7.Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the services. The Company's total aggregate liability for any claim arising from the services shall not exceed the amount actually paid by the Client to the Company during the one (1) month immediately preceding the event giving rise to the claim. Services are provided on an "as is" and "as available" basis.
8.Indemnification
The Client agrees to indemnify, defend, and hold harmless the Company from and against any claims, damages, liabilities, or expenses (including reasonable attorneys' fees) arising from: (a) content, claims, or materials the Client approves for publication; (b) the Client's products or services; or (c) the Client's breach of these Terms or violation of any applicable law or third-party right.
9.Changes to These Terms
The Company may update these Terms from time to time. The "Effective Date" above reflects the most recent revision. Material changes will be posted on this page, and continued use of the services after such changes constitutes acceptance of the revised Terms.
10.Governing Law & Jurisdiction
These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of California, USA, without regard to conflict-of-law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Sacramento County, California.

- إخلاء المسؤولية عن النتائج المادية: مع التزامنا بتطبيق أفضل معايير الجودة والاستعانة بأحدث أدوات الذكاء الاصطناعي لتحسين الوصول والانتشار، فإن الكيان التشغيلي لا يقدّم أي ضمانات مطلقة أو محددة بشأن تحقيق حجم مبيعات معيّن، أو وصول فيروسي (Viral Reach)، أو نسب نمو ثابتة للمتابعين؛ حيث تخضع هذه المؤشرات لمتغيرات خارجية متعددة تشمل خوارزميات المنصات وتقلبات السوق.
- مسؤولية اعتماد المحتوى: يتحمّل العميل المسؤولية النهائية عن مراجعة واعتماد المادة التسويقية، والمطالبات التجارية، وصحة بيانات المنتجات أو الخدمات قبل نشرها أو تداولها علناً.
2.حقوق الملكية الفكرية والتراخيص
- مخرجات العميل: عقب السداد التام للمقابل المالي أو الاشتراكات الشهرية المستحقة، يُمنح العميل ترخيصاً عالمياً غير حصري لاستخدام ونشر وتداول التصاميم النهائية، والنصوص الإعلانية، والمحتوى المصمّم خصيصاً لعلامته التجارية.
- ملكية الأصول والآليات للوكالة: يحتفظ الكيان التشغيلي بالملكية الحصرية لكافة مناهج العمل، وأطر صياغة الأوامر البرمجية (AI Prompts)، وقوالب التصاميم المبتكرة، والأسرار التجارية، والعلامة التجارية (بما في ذلك شعار Sanose Rabih، ونظام العلامات المائية، والأكواد البرمجية للموقع).
- ملكية الأطراف الثالثة: تبقى الوسائط والخطوط والأدوات المشتراة أو المرخّصة من منصات خارجية خاضعةً لملكية أصحابها الأصليين.
3.سياسة الخصوصية وحماية البيانات (CCPA/CPRA و CalOPPA)
امتثالاً لقانون كاليفورنيا لخصوصية المستهلك والتعديلات النافذة عليه (CCPA/CPRA) وقانون حماية الخصوصية عبر الإنترنت (CalOPPA):
- جمع البيانات: نقتصر على جمع البيانات الضرورية للخدمة والتواصل (مثل الاسم، والبريد الإلكتروني، ورقم الهاتف، وبيانات النشاط) المستلمة عبر النماذج الإلكترونية (مثل Formspree) أو طلبات التحليل المجاني. وتُعالَج المعاملات المالية عبر بوابات دفع دولية معتمدة ومتوافقة مع معايير (PCI-DSS) مثل Stripe.
- حظر بيع أو مشاركة البيانات: نلتزم بعدم بيع، أو تأجير، أو مشاركة البيانات الشخصية أو التجارية للعملاء مع أي أطراف خارجية لأغراض الإعلانات السلوكية الموجّهة (cross-context behavioral advertising).
- حظر تدريب نماذج الذكاء الاصطناعي: نؤكّد صراحةً أن بيانات المشاريع، واستراتيجيات العملاء، والمواد الخاصة لا تُستخدم مطلقاً لتدريب أو تحسين نماذج الذكاء الاصطناعي العامة أو التابعة لأطراف ثالثة.
- حقوق المستهلك: يحق للعميل بموجب قوانين كاليفورنيا طلب مراجعة أو تصحيح أو حذف بياناته الشخصية عبر مراسلتنا مباشرةً على: [email protected].
4.ملفات الارتباط (Cookies) وإشارة عدم التتبّع (CalOPPA)
قد يستخدم موقعنا ملفات ارتباط أساسية وتحليلية لتشغيل الموقع وفهم حركة الزيارات الإجمالية، دون استخدامها لبناء ملفات إعلانية موجّهة عبر السياقات. ونظراً لعدم وجود معيار صناعي موحّد حالياً لإشارات "عدم التتبّع" (Do Not Track)، فإن موقعنا لا يغيّر سلوكه استجابةً لهذه الإشارات في الوقت الراهن، وسنُحدّث هذه السياسة حال اعتماد معيار معترف به. ويمكنك التحكّم في ملفات الارتباط أو تعطيلها من إعدادات متصفّحك.
5.الشروط المالية والاشتراكات والإلغاء
- الباقات الشهرية: تُدفع مقابلات الباقات التسويقية الثابتة — الباقة المبتدئة ($75/شهرياً)، وباقة النمو ($150/شهرياً)، والباقة الشاملة ($250/شهرياً) — بشكل دوري ومسبق عبر بوابة الدفع المعتمدة (Stripe).
- سياسة الاسترداد: يُعتبر المقابل المالي للاشتراكات الشهرية، أو جلسات الاستراتيجية، أو التصاميم المخصّصة غير قابل للاسترداد (Non-refundable) بمجرد البدء الفعلي في تنفيذ العمل أو إعداد التصاميم والمحتوى لدورة الفوترة الحالية.
- إلغاء الاشتراك: يمكنك إلغاء تجديد اشتراكك الشهري في أي وقت وبدون أي رسوم أو غرامات إلغاء. فقط اضغط على رابط الإلغاء الموجود في فاتورة الدفع الشهري (Stripe)، أو راسِلنا عبر [email protected] قبل موعد التجديد القادم. يوقف الإلغاء أي خصومات مستقبلية، وتستمر خدماتك حتى نهاية الفترة المدفوعة الحالية (دون استرداد مالي للدورة الحالية).
6.شروط التجديد التلقائي (قانون كاليفورنيا ARL)
امتثالاً لقانون التجديد التلقائي في ولاية كاليفورنيا (Cal. Bus. & Prof. Code §17600 وما يليه):
- الموافقة على الفوترة المتكرّرة: باشتراكك في أي باقة شهرية، فإنك تُفوّض الكيان التشغيلي صراحةً بخصم قيمة الباقة من وسيلة الدفع المختارة بشكل شهري متكرّر حتى إلغائك.
- التجديد التلقائي: يتجدّد اشتراكك تلقائياً في نهاية كل دورة فوترة شهرية بالسعر الساري للباقة، ما لم يتم إلغاؤه قبل تاريخ التجديد.
- كيفية الإلغاء ("إلغاء بنقرة"): يمكنك الإلغاء في أي وقت ودون أي غرامة عبر رابط بوابة عملاء Stripe المُدرَج في إيصالك، أو بمراسلتنا على [email protected]. يوقف الإلغاء التجديدات المستقبلية، ولا تُسترد الدورة المدفوعة الحالية.
- تغيير الأسعار: سنُقدّم إشعاراً مسبقاً وواضحاً بأي تغيير في سعر اشتراكك المتكرّر قبل نفاذه.
7.تحديد المسؤولية
إلى أقصى حدٍّ يسمح به القانون المعمول به، لا يتحمّل الكيان التشغيلي المسؤولية عن أي أضرار غير مباشرة أو عرضية أو خاصة أو تبعية أو تأديبية، ولا عن أي خسارة في الأرباح أو الإيرادات أو البيانات أو السمعة، تنشأ عن الخدمات أو تتعلق بها. ولا تتجاوز المسؤولية الإجمالية للكيان التشغيلي عن أي مطالبة قيمة ما دفعه العميل فعلياً خلال الشهر (1) السابق مباشرةً للحدث المُنشئ للمطالبة. وتُقدَّم الخدمات على أساس "كما هي" و"حسب توافرها".
8.التعويض
يوافق العميل على تعويض الكيان التشغيلي والدفاع عنه وإبراء ذمّته من أي مطالبات أو أضرار أو التزامات أو مصاريف (بما في ذلك أتعاب المحاماة المعقولة) تنشأ عن: (أ) المحتوى أو المطالبات أو المواد التي يعتمدها العميل للنشر؛ (ب) منتجات العميل أو خدماته؛ (ج) إخلال العميل بهذه الشروط أو مخالفته لأي قانون معمول به أو حق طرف ثالث.
9.تعديل الشروط
يجوز للكيان التشغيلي تحديث هذه الشروط من وقت لآخر، ويعكس "تاريخ النفاذ" أعلاه آخر مراجعة. وتُنشر التعديلات الجوهرية على هذه الصفحة، ويُعدّ استمرار استخدام الخدمات بعد ذلك قبولاً للشروط المعدّلة.
10.القانون الواجب التطبيق والاختصاص القضائي
تخضع هذه الشروط وتُفسَّر وتُنفَّذ وفقاً للقوانين والأنظمة النافذة في ولاية كاليفورنيا، الولايات المتحدة الأمريكية، دون اعتبار لمبادئ تنازع القوانين. وتختص محاكم ولاية كاليفورنيا (الولائية والفيدرالية) الواقعة في مقاطعة ساكرامنتو (Sacramento County) دون غيرها بالفصل في أي نزاع قانوني ينشأ عن استخدام الموقع أو التعاقد على الخدمات.
